These Terms of Service (“Terms”) govern your use of services provided by ESSQUARE LLC dba Barkat Tech (“Company”, “we”, “us”). By accessing or using our website, applications, or other services (collectively, “Services”), you agree to be bound by these Terms. If you do not agree, do not use the Services.
To use certain Services you must be at least 18 years old and legally permitted to enter into binding agreements in your jurisdiction.
Barkat Tech provides website design, mobile application development, custom software development, hosting, maintenance, and related digital services. The specific scope of work for each client is described in individual service agreements or proposals.
Clients engage Barkat Tech as an independent service provider. Nothing in these Terms creates an employer-employee relationship, partnership, joint venture, or agency between you and the Company.
You agree to provide accurate, current, and complete information when creating an account and to keep your account information up to date. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.
Payments, fees, and billing schedules will be described in service agreements, proposals, or pricing pages. The Company reserves the right to modify payment structures, fees, or billing methods with notice where required by law.
All content on the Services (design, text, logos, images, software) is owned or licensed by the Company. You may not use our trademarks or copyrighted materials without prior written permission. Client-provided content remains the property of the client.
You must not engage in unlawful activity, fraudulent behavior, harassment, or any conduct that harms other users or the Company’s reputation.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR LICENSORS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES.
You agree to indemnify and hold harmless ESSQUARE LLC and its affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or your negligent or willful acts.
We may suspend or terminate your access to the Services at any time for violation of these Terms or applicable law. Termination does not limit any other remedies we may have.
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved in the state or federal courts located in the State of California, unless the parties agree in writing to arbitration.
We may modify these Terms from time to time. When changes are material, we will provide notice via the Services or other means. Continued use after notice constitutes acceptance of the updated Terms.
Your business data, content, and branding belong to you. We will not use your proprietary content for purposes outside the scope of our engagement without your consent.
